1. Overview
These Preview Terms (“Preview Terms”) are entered into between you (“Customer,” “you,” or “your”) and Datafi Labs, Inc. (“Datafi,” “we,” “us,” or “our”). These Preview Terms supplement and are incorporated into the Terms of Service and govern your access to and use of any Preview Services (as defined below) made available by Datafi.
By accessing or using any Preview Services, you acknowledge that you have read, understood, and agree to be bound by these Preview Terms in addition to the Terms of Service. In the event of a conflict between these Preview Terms and the Terms of Service with respect to Preview Services, these Preview Terms shall control.
2. Definitions
The following definitions apply throughout these Preview Terms:
- “Preview Services” means any product, feature, functionality, tool, API, integration, or service designated by Datafi as “preview,” “beta,” “alpha,” “early access,” “experimental,” “labs,” or any similar designation indicating that it is not yet generally available.
- “Beta Features” means Preview Services that are in a beta testing phase and may be feature-incomplete, undergoing active development, or subject to significant changes before general release.
- “Early Access” means Preview Services made available to a limited set of customers ahead of broader release, typically closer to production readiness than Beta Features but still subject to change.
- “General Availability” or “GA” means the stage at which a product or feature has been officially released by Datafi for production use, is covered by standard service level agreements, and is available to all eligible customers under the applicable Terms of Service.
3. Eligibility and Access
Access to Preview Services is provided on an invitation-only basis at Datafi’s sole discretion. You may be invited to participate through direct outreach, an application process, or selection by our product team.
To participate in any Preview Services, you must:
- Hold an active Datafi account in good standing under the Terms of Service.
- Accept these Preview Terms prior to accessing any Preview Services.
- Meet any additional eligibility criteria specified for the particular Preview Service.
Datafi reserves the right to revoke access to Preview Services at any time, for any reason, without prior notice.
4. Preview Services Description
Preview Services consist of pre-release, beta, or early access features and functionality that Datafi is making available for evaluation, testing, and feedback purposes. Preview Services may include new products, enhancements to existing products, experimental integrations, or entirely new capabilities.
Preview Services are intended to give customers an opportunity to explore upcoming functionality and to provide Datafi with valuable feedback that shapes the final product. Preview Services are not intended for production use unless explicitly stated otherwise by Datafi in writing.
5. No Warranty / AS-IS
Preview Services are provided on an “AS-IS” and “AS-AVAILABLE” basis. To the maximum extent permitted by applicable law, Datafi expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing:
- Preview Services are not covered by any service level agreement (SLA).
- Datafi makes no guarantee of uptime, availability, or reliability for Preview Services.
- Datafi does not warrant that Preview Services will meet your requirements, operate without interruption, or be error-free.
- No oral or written information provided by Datafi shall create a warranty not expressly stated in these Preview Terms.
6. Preview Feature Limitations
You acknowledge and agree that Preview Services:
- May be incomplete and may lack features or functionality available in GA products.
- May contain bugs, errors, or defects that could cause data loss, system failures, or other issues.
- May change without notice, including changes to APIs, interfaces, data formats, and feature behavior.
- May experience downtime or degraded performance without advance warning.
- May be incompatible with your existing systems, workflows, or integrations.
- May have security vulnerabilities that have not yet been identified or remediated.
You are solely responsible for assessing the suitability of Preview Services for your use case and for implementing appropriate safeguards, including maintaining backups of any data used in connection with Preview Services.
7. Customer Feedback and Participation
As a participant in the Preview program, you agree to:
- Provide reasonable feedback on your experience with Preview Services, including bug reports, usability observations, and feature suggestions, when requested by Datafi.
- Respond to surveys, interviews, or other feedback mechanisms in a timely manner.
- Report any critical issues, security vulnerabilities, or data-related concerns promptly.
Any feedback, ideas, suggestions, or recommendations you provide to Datafi regarding Preview Services (“Feedback”) shall be owned by Datafi. You hereby assign to Datafi all right, title, and interest in and to any Feedback, and Datafi is free to use, disclose, reproduce, license, and otherwise exploit Feedback without restriction or compensation to you.
8. Data Handling During Preview
You acknowledge and agree to the following regarding data used in connection with Preview Services:
- Data stored, processed, or generated through Preview Services may not be migrated to the GA version of the service.
- Data associated with Preview Services may be deleted at any time, including upon discontinuation of the Preview Service or transition to GA, without prior notice.
- Preview Services may use different data storage, processing, or retention practices than GA services.
- You are responsible for maintaining independent backups of any data you consider important.
Datafi will handle personal data collected through Preview Services in accordance with our Privacy Policy. However, Preview Services may involve additional data collection for diagnostic, performance monitoring, and product improvement purposes.
9. Confidentiality
Unless otherwise communicated by Datafi in writing, all Preview Services and related information are considered Confidential Information of Datafi. You agree to:
- Not publicly disclose the existence, features, functionality, or your participation in any Preview Service without Datafi’s prior written consent.
- Not publish reviews, benchmarks, screenshots, recordings, or other materials related to Preview Services without authorization.
- Not share access credentials or invitations to Preview Services with unauthorized third parties.
- Limit access to Preview Services within your organization to individuals who have a legitimate need and who are bound by obligations of confidentiality no less protective than those set forth herein.
These confidentiality obligations shall survive the termination of your access to Preview Services and shall remain in effect until the relevant Preview Service reaches General Availability or Datafi otherwise releases the information publicly.
10. Discontinuation
Datafi reserves the right to modify, suspend, or discontinue any Preview Service, in whole or in part, at any time and for any reason, without prior notice and without liability to you. Discontinuation may occur due to, but is not limited to:
- Business decisions not to pursue the feature or product.
- Technical challenges or feasibility concerns.
- Shifts in product strategy or market direction.
- Regulatory or compliance considerations.
In the event of discontinuation, Datafi will make reasonable efforts to notify you in advance when practicable, but is under no obligation to do so. Datafi shall have no liability for any loss, damage, or cost arising from the discontinuation of any Preview Service.
11. Transition to General Availability
If a Preview Service transitions to General Availability:
- The GA version will be governed by the Terms of Service and any applicable product-specific terms, rather than these Preview Terms.
- Features, functionality, and pricing may differ between the Preview version and the GA version.
- Data from the Preview period may or may not be carried over to the GA version, at Datafi’s discretion.
- You may be required to accept additional or updated terms to continue using the GA version.
- Any free access granted during the Preview period will end, and standard pricing will apply.
Datafi will provide reasonable notice before a Preview Service transitions to GA and will communicate any material changes to functionality, pricing, or terms.
12. Pricing
Unless otherwise stated in writing, Preview Services are provided free of charge during the Preview period. This complimentary access is offered solely for evaluation and testing purposes and does not create any entitlement to continued free access.
You acknowledge that:
- Standard pricing will apply once the Preview Service reaches General Availability.
- Datafi may introduce usage limits, quotas, or metered billing for Preview Services at any time.
- Pricing for the GA version may differ from any pricing discussed or indicated during the Preview period.
- Datafi is under no obligation to offer discounted or preferential pricing to Preview participants.
13. Limitation of Liability
In addition to any limitations of liability set forth in the Terms of Service, the following enhanced limitations apply to Preview Services:
To the maximum extent permitted by applicable law, Datafi’s total aggregate liability arising out of or related to your use of Preview Services shall not exceed the greater of (a) the amounts you paid to Datafi specifically for the Preview Services during the twelve (12) months preceding the claim, or (b) fifty US dollars (USD $50).
In no event shall Datafi be liable for any:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, business opportunities, or goodwill.
- Cost of procurement of substitute goods or services.
- Damages arising from the discontinuation, modification, or degradation of Preview Services.
- Damages arising from reliance on Preview Services for production workloads.
These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, and even if Datafi has been advised of the possibility of such damages.
14. Term and Termination
These Preview Terms are effective from the date you first access any Preview Service and remain in effect until:
- You cease all use of Preview Services and notify Datafi of your withdrawal.
- Datafi revokes your access to Preview Services.
- The applicable Preview Service is discontinued or transitions to General Availability.
- Your underlying account or agreement under the Terms of Service is terminated.
Upon termination, you must immediately cease all use of the affected Preview Services. Sections relating to intellectual property, confidentiality, limitation of liability, and data handling shall survive termination.
